By accessing or using the services provided by Syntrik ("Company," "we," "us," or "our"), including our website at syntrik.io and any related services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use our services.
These Terms apply to all visitors, users, clients, and anyone who accesses or uses our services. By engaging our services, you represent that you are at least 18 years of age and have the legal capacity to enter into binding agreements.
Syntrik is a software services agency specializing in custom software development, UI/UX design, artificial intelligence services, custom OpenAI/GPT application development, vibe-to-stable code migration, and ecommerce solutions. The specific scope, deliverables, timelines, and pricing for any engagement will be defined in a separate Statement of Work (SOW) or service agreement between Syntrik and the client.
We reserve the right to modify, suspend, or discontinue any part of our services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of services.
As a client, you agree to provide timely and accurate information, materials, and feedback necessary for us to perform the agreed-upon services. You are responsible for ensuring that any content, data, or materials you provide to us do not infringe on the intellectual property rights of any third party.
You agree to designate a primary point of contact for communication regarding your project. Delays caused by failure to provide requested information, approvals, or feedback may result in adjusted timelines and additional costs.
Client Ownership: Upon full payment of all fees, you will own all custom code, designs, and deliverables created specifically for your project, unless otherwise stated in the SOW. This does not include pre-existing intellectual property, third-party libraries, open-source components, or proprietary tools and frameworks developed by Syntrik independently.
Syntrik's Rights: We retain ownership of all proprietary tools, methodologies, frameworks, libraries, and reusable components developed before or during the engagement that are not specific to your project. We also reserve the right to use general knowledge, skills, and experience gained during the engagement.
Portfolio Rights: Unless explicitly excluded in writing, Syntrik may reference the project in our portfolio, case studies, and marketing materials, including a general description of the work performed.
Payment terms, including fees, milestones, and schedules, will be outlined in the applicable SOW or service agreement. Unless otherwise agreed upon, invoices are due within 14 days of issuance. Late payments may incur a late fee of 1.5% per month on the outstanding balance.
We reserve the right to suspend work on any project for which payment is overdue by more than 30 days. All fees are non-refundable unless otherwise specified in the service agreement. Taxes, if applicable, are the responsibility of the client unless explicitly stated otherwise.
Both parties agree to keep confidential all proprietary and sensitive information disclosed during the course of the engagement. This includes, but is not limited to, business plans, technical specifications, source code, trade secrets, customer data, and financial information.
Confidential information may only be disclosed to employees or contractors who need access to perform the agreed-upon services, and who are bound by similar confidentiality obligations. These obligations survive the termination of the engagement for a period of two (2) years.
Syntrik warrants that all services will be performed in a professional and workmanlike manner, consistent with generally accepted industry standards. We will make reasonable efforts to correct any defects in deliverables reported within 30 days of delivery at no additional cost.
Except as expressly stated herein, all services and deliverables are provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that any software will be free of bugs, errors, or interruptions.
To the maximum extent permitted by applicable law, Syntrik's total liability for any claims arising out of or related to these Terms or our services shall not exceed the total fees paid by you to Syntrik during the twelve (12) months preceding the claim.
In no event shall Syntrik be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, regardless of whether such damages were foreseeable or whether Syntrik was advised of the possibility of such damages.
You agree to indemnify, defend, and hold harmless Syntrik, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of our services, your breach of these Terms, or your violation of any third-party rights.
Either party may terminate a service engagement by providing 30 days' written notice to the other party. Upon termination, the client is responsible for payment of all services rendered and expenses incurred up to the effective date of termination.
Syntrik may terminate or suspend access to our services immediately, without prior notice, if we believe you have violated these Terms. Upon termination, all completed deliverables paid for in full will be transferred to the client. Work-in-progress deliverables will be delivered upon payment of outstanding fees.
Our services may integrate with or utilize third-party services, APIs, and platforms, including but not limited to OpenAI, Anthropic (Claude), Google Cloud, Amazon Web Services, and various open-source tools. Your use of such third-party services is subject to their respective terms of service and privacy policies.
When building AI-powered applications, we use commercially available models and APIs. We do not guarantee the accuracy, reliability, or appropriateness of AI-generated outputs. Clients are responsible for implementing appropriate safeguards, human oversight, and compliance measures for any AI features deployed in their products.
During the term of any engagement and for twelve (12) months following its completion, neither party shall directly or indirectly solicit, recruit, or hire any employee or contractor of the other party who was involved in the engagement, without the prior written consent of the other party.
Neither party shall be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay results from circumstances beyond the party's reasonable control, including but not limited to natural disasters, pandemics, government actions, war, terrorism, labor disputes, or infrastructure failures.
These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation between the parties.
If a dispute cannot be resolved through negotiation within 30 days, either party may submit the dispute to binding arbitration in accordance with applicable arbitration rules. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding.
We reserve the right to update or modify these Terms at any time. Changes will be effective immediately upon posting the revised Terms on our website with an updated "Last updated" date. Your continued use of our services after any changes constitutes your acceptance of the revised Terms.
For active engagements, material changes to these Terms will be communicated via email to the primary contact on file at least 14 days before they take effect.
